Terms of Service

These Terms of Service ("Terms") apply to your use of https://hookwell.io (the "Site") and to the services provided by Hookwell ("Hookwell", "we", "us" or "our"). By booking, paying for or using our services, you ("Client" or "you") agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it.

Business use only. Our services are for businesses and professionals buying for their trade, business or profession, not for consumers.

Your client agreement prevails. For clients, the signed client agreement sets out the full service terms. If it differs from these Terms, the client agreement prevails, and these Terms then apply to you only for your use of the Site.

1. Our services and plans

Hookwell is a done-for-you short-form video agency for coaches, consultants and B2B founders. We research your market, write your scripts, edit your videos, post them at peak times and send you a weekly performance report. Every plan includes posting (Instagram, TikTok and YouTube Shorts by default; LinkedIn or X on request) and 24/7 dedicated account support (you can contact us at any time; this is not a set response time).

Plans are billed monthly; commitment, renewal and cancellation terms are in section 3. There is no setup fee. Advertising spend, ad account management and on-location filming are not included. Extra work is quoted separately.

2. Your part

The videos feature you on camera, so you agree to film from our scripts and shot guide, give feedback within the review period set out in your client agreement, keep the account access we need for posting, and make sure everything you provide is yours to use, lawful and accurate. Anyone else who appears in your footage must sign our on-camera release. Each script and video includes a set number of revision rounds; new concepts or changes of direction are quoted separately. Delivery times depend on you providing footage, feedback and access on time.

3. Fees, renewal and cancellation

• Payment. Fees are paid monthly in advance, in US dollars. Fees are exclusive of taxes and bank charges; see your client agreement. If a payment is late, we may pause work until it is received.
• Minimum term and renewal. Your plan has a 3-month minimum commitment, unless your client agreement states a different term. After that, it renews automatically month to month at your plan's monthly fee until you cancel. If you end the services early, fees for the rest of the minimum term remain payable.
• Cancellation. Cancel by emailing [email protected] with at least 30 days' notice. Notice given during the minimum term takes effect at the end of that term.
• Refunds. Fees are non-refundable for any month that has already started.
• Price changes. We give at least 30 days' notice of any price change.
• Billing questions. Please email us first about any charge and allow 30 days to resolve it before raising a dispute with your bank or payment provider. If a dispute is raised, we may share records of the work delivered, your approvals and our messages with the payment provider, and fees for services already delivered remain payable.

4. The 50M+ organic reach guarantee

Our Site states: "50M+ organic reach guaranteed in 180 days". This means at least 50 million organic views across all of your platforms combined, within 180 days from your first published video. Views are counted as organic views of the videos we produce for you, using the platforms' native analytics; views from paid promotion are excluded.

• Conditions: you stay subscribed, with fees paid, until the 180-day window ends; you film and give feedback on schedule; and you allow us to post on schedule. Delays caused on your side pause the 180-day window rather than ending the guarantee, but a pause you request ends the guarantee.
• Remedy: if the target is not reached, we keep producing your current package at no charge, month by month, until it is reached or for up to 6 months, whichever comes first. After that, the guarantee ends. There are no cash refunds.
• How to claim: email [email protected] within 30 days after the 180-day window ends.

5. Results disclaimer

Apart from the guarantee in section 4, we do not promise any specific outcome, such as followers, engagement, leads, sales or revenue. Results depend on factors outside our control, including platform algorithms and policies and your participation. Examples on our Site are illustrative, not a promise of the same results. Statements about time saved are estimates.

6. Content and intellectual property

• Your materials. You keep all rights in the footage and materials you provide, and let us use them only to deliver the services.
• Final videos. Once you have paid in full for the period in which a video was delivered, you own the final edited videos and scripts we deliver, worldwide and for the full term of the rights. We keep our own methods, templates and know-how.
• Portfolio use. We show your content in our portfolio only with your prior written permission.
• Content standards. We may decline to create or post content we reasonably believe is unlawful, misleading, infringing or against platform rules. You are responsible for claims made in your content and for third-party claims about materials you provide.
• The Site. The Site's content belongs to Hookwell or its licensors. Please don't copy it for commercial use or misuse the Site.

7. Confidentiality and privacy

Each party keeps the other's confidential information private. We handle personal information as described in our Privacy Policy at https://hookwell.io/privacy.

8. Platforms and accounts

You own your social media accounts and are responsible for following each platform's terms. We are not responsible for platform decisions, such as changes to reach or removed content, unless caused by our breach. You may remove our account access at any time.

9. Termination

Either party may end the services if the other materially breaches these Terms and does not fix the breach within 14 days of notice. Amounts owed, intellectual property, confidentiality, liability and governing-law terms continue after the services end.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect or consequential losses, or for loss of profits, revenue, business, goodwill or data, and each party's total liability is limited to the fees you paid us in the 3 months before the event giving rise to the claim. These limits do not apply to your obligation to pay fees, liability for fraud or wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law.

11. Governing law and disputes

These Terms are governed by the laws of India, and the courts at Jaipur, Rajasthan have exclusive jurisdiction. Before starting formal proceedings, both parties will try in good faith to resolve any dispute through discussion for at least 30 days.

12. General

We are an independent contractor. Neither party is liable for delays caused by events beyond its reasonable control (payment obligations excepted). You may not transfer these Terms without our consent; we may transfer them to a business entity we set up or to a buyer of our business. If any part of these Terms is unenforceable, the rest remains in effect. We may update these Terms and will give you at least 30 days' notice of changes that affect your services.
